2. Purpose
These terms of use (the "Terms") govern access to and use of the Extension.
Any person who downloads, accesses or uses the Extension is defined as a "User" or "You".
By downloading and using the Extension, the User agrees to be bound by these Terms. If you do not agree, you shall not download, install, copy, or use the Extension.
NEWFUND may modify these Terms at any time by updating this page. Your continued use after such modification confirms your acceptance of the modified terms.
3. Access to the Extension
The Extension is accessible to professional investors and investment funds seeking to optimize their deal flow and portfolio management processes.
To access the Extension, you must:
- Install the Extension from the Chrome Web Store
- Create an account by providing your email address, first name, and last name
- Accept these Terms
- Or be invited by a member of your workspace
The Extension offers:
- A free version with limited features (freemium)
- A paid subscription version with full features
4. Security
You are responsible for maintaining the confidentiality of your login credentials. You must take all reasonable precautions to prevent loss, theft, or unauthorized use of your account. You are responsible for all activities that occur under your account.
NEWFUND reserves the right to disable any user account at any time if we reasonably believe you have failed to comply with these Terms.
You must inform NEWFUND at alloy@newfundcap.com as soon as reasonably practicable if you know or suspect unauthorized access to your account.
5. Features of the Extension
When using the Extension, you can:
Investment Opportunity Management:
- Automatic scoring of opportunities based on your investment criteria
- Automatic data enrichment for startups
- Track opportunities through your pipeline
Portfolio Monitoring:
- Automatically track key metrics of your portfolio companies
- Access interaction history with your portfolio companies
- Receive relevant introduction suggestions
The Extension processes your email metadata to extract relevant information. Email content is analyzed for processing but is not stored.
6. Intellectual Property
NEWFUND owns or licenses all intellectual property rights in the Extension and its published material. These works are protected by copyright laws worldwide and may not be reproduced, used, or represented without NEWFUND's express written authorization.
NEWFUND grants Users a non-exclusive, non-transferable right to use the Extension for personal and informational purposes only.
You are not permitted to: (i) resell or use the Extension for commercial purposes; (ii) collect information from the Extension; (iii) download or copy information for third parties; (iv) use data mining, screen scraping, or similar tools; (v) modify the Extension's content.
Any unauthorized access, modification, or interference with the Extension's availability is strictly prohibited.
7. Content and Hyperlinks
The Extension may include links to other sites or Internet sources. NEWFUND cannot control these external sites and sources and declines all responsibility for their content, advertising, products, or services. These links are offered as a service. The decision to activate them is yours alone.
8. Disclaimer of Warranty and Liability
The Extension is provided "as is" and without warranty. NEWFUND has no obligation to correct bugs, defects, or errors in the Extension.
You acknowledge that the service may be delayed, interrupted, or disrupted due to circumstances beyond NEWFUND's reasonable control.
NEWFUND cannot be held liable for any direct or indirect damage resulting from access to or use of the Extension, including inaccessibility, data loss, lost profits, damage, or viruses.
Although NEWFUND endeavors to provide reliable content, it does not guarantee content is free from inaccuracies or omissions. NEWFUND reserves the right to make improvements and changes to the Extension's content at any time without notice. The User acknowledges using the information at their exclusive responsibility.
9. Personal Data (Privacy Policy)
When using the Extension, the User may be required to provide information that allows direct or indirect identification. This information will be used in accordance with this privacy policy.
Personal data transmitted by the User is hereinafter referred to as "Data".
In this privacy policy, "Personal Data" and "Controller" must be interpreted in accordance with French Law No. 78-17 of January 6, 1978 as amended ("Loi Informatique et Libertés") and European Regulation No. 2016/679 of April 27, 2016 ("General Data Protection Regulation").

9.b) Data Collection and Processing
The Controller may collect or process the following Personal Data:
- First name
- Last name
- Email address
- Email & Calendar metadata (sender, recipient, subject, date, attachments)
Important: Email content is analyzed for processing and information extraction but is not stored in our systems.
NEWFUND may automatically collect information when you interact with the Extension, including:
- Unique identifiers: IP address
- Device information: Browser type and operating system
- Interaction information: Features you use on the Extension
9.c) Processing Purposes
Personal Data are processed to provide the User with the service and the Extension, including:
- Automatic scoring of investment opportunities
- Startup data enrichment
- Investment pipeline tracking
- Portfolio metrics monitoring
- Relevant introduction suggestions
9.d) Legal Basis for Processing
The legal basis for processing is NEWFUND's legitimate interest in providing the service. Processing email metadata and content is necessary to enable the Extension's features (scoring, enrichment, tracking).
9.e) Data Retention Period
Data are kept as long as your account is active. Upon account deletion, your Personal Data are deleted within thirty (30) days.
During this period, NEWFUND undertakes to implement all necessary measures to ensure Data confidentiality, integrity, and security.
9.f) Recipients and Data Transfer
Data are processed only by NEWFUND personnel for intended purposes.
NEWFUND uses the following services for processing:
- OpenAI: For artificial intelligence features
- AWS Europe: For data hosting
NEWFUND undertakes not to sell Personal Data and not to transfer Personal Data outside the European Union without appropriate safeguards.
No personally identifiable data is transmitted to third parties for commercial purposes.
9.g) User Rights
In accordance with "Loi Informatique et Libertés" and the General Data Protection Regulation, you have the right to access, object to, rectify, or erase your Data, the right to restrict processing, and the right to data portability.
You may exercise your rights by sending an email to alloy@newfundcap.com.
Data deletion: You can request complete deletion of your account and all your data by contacting support. Deletion will be effective within thirty (30) days.
If you are not satisfied with our response, you may contact the French Commission Nationale de l'Informatique et des Libertés (www.cnil.fr).
9.h) Cookies
The Extension uses only cookies strictly necessary for service operation, particularly for authentication and session security.
No tracking or advertising cookies are used.
10. Severability
Should one or more provisions of this agreement be declared null and void by law, regulation, or final court decision, they shall be deemed not written and other provisions shall remain in full force and effect.
11. Applicable Law – Jurisdiction
These Terms are governed by and shall be construed in accordance with French law.
Any dispute arising from the interpretation, performance, expiry, or termination of this agreement shall be brought before the Paris Commercial Court (Tribunal de Commerce de Paris), which shall have exclusive jurisdiction regardless of where the Service is performed or the defendant's domicile.
